Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and BookFlow Inc. ("BookFlow," "we," "us," or "our") governing your access to and use of the BookFlow website, mobile application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Service Description

BookFlow provides an online platform that connects barbers, barbershop owners, and clients. Our Service includes:

• Online appointment booking and scheduling tools for barbers and clients.
• Business management tools for barbershop owners, including staff scheduling, analytics, and client management.
• A marketplace for clients to discover and book appointments with barbers.
• Payment processing for services rendered through the platform.
• Communication tools between barbers and clients, including appointment reminders and notifications.

BookFlow acts as an intermediary platform and is not a party to the agreements between barbers and clients. We do not employ barbers and are not responsible for the quality of services provided by barbers or barbershops.

User Accounts

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your information to keep it accurate and complete.
• Maintain the security of your account credentials and not share your password with others.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current, or if you violate these Terms.

Payments and Fees

BookFlow offers subscription plans for barbers and barbershop owners. By subscribing to a paid plan, you agree to the following:

• Subscription Fees: You agree to pay the applicable subscription fees as described on our Pricing page. Fees are billed in advance on a monthly or annual basis.
• Payment Method: You must provide a valid payment method. You authorize us to charge your payment method for all fees incurred.
• Price Changes: We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price increase takes effect.
• Taxes: Fees are exclusive of applicable taxes, which will be added where required by law.
• Refunds: Subscription fees are generally non-refundable except as required by applicable law or as explicitly stated in these Terms.

For client payments to barbers processed through the Service, BookFlow may charge a transaction fee as disclosed at the time of payment.

Cancellation and Termination

You may cancel your subscription or delete your account at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period.
• You will not be charged for subsequent billing periods.
• You will retain access to your account data for 30 days after the end of your billing period.
• After 30 days, your data may be permanently deleted in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that could harm other users or BookFlow Inc.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Post false, misleading, or fraudulent content, including fake reviews or inaccurate business information.
• Harass, abuse, or threaten other users.
• Interfere with or disrupt the Service or servers connected to the Service.
• Attempt to gain unauthorized access to any part of the Service or other users' accounts.
• Use the Service for any purpose other than its intended use.
• Scrape, crawl, or use automated means to access the Service without our prior written consent.
• Transmit viruses, malware, or other harmful code.

Intellectual Property

The Service and its contents, including but not limited to text, graphics, logos, icons, images, software, and underlying code, are the property of BookFlow Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute any part of the Service without our prior written consent.
• Use our trademarks, logos, or brand elements without authorization.
• Reverse engineer, decompile, or disassemble any part of the Service.

Content you submit through the Service (such as reviews, photos, and profile information) remains yours, but you grant BookFlow Inc. a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Service.

Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• BookFlow Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.
• Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to BookFlow Inc. in the 12 months preceding the claim.
• We are not responsible for the actions, content, or services of third parties, including barbers, barbershop owners, or clients using the platform.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved as follows:

• Informal Resolution: Before filing a formal claim, you agree to contact us at legal@bookflow.com to attempt to resolve the dispute informally. We will try to resolve the matter within 30 days.
• Arbitration: If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in San Francisco, California.
• Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Indemnification

You agree to indemnify, defend, and hold harmless BookFlow Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
